Acceptance of Terms

By accessing or using the RXI Care platform, mobile applications, or related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

These Terms constitute a legally binding agreement between you (the "User") and RXI Care Technologies Pvt. Ltd., a company incorporated under the laws of India ("RXI Care", "we", "us").

User Eligibility

RXI Care is intended exclusively for:

• Licensed homeopathic and medical practitioners registered with an appropriate state or national medical council in India
• Clinics, hospitals, and healthcare organisations operating lawfully in India
• Authorised administrative staff acting on behalf of a registered healthcare entity

By registering, you represent and warrant that you meet the above criteria and that all information you provide is accurate, current, and complete.

Account Registration & Security

You must create an account to use the Service. You agree to:

• Provide accurate, complete registration information and keep it updated
• Maintain the confidentiality of your login credentials
• Take full responsibility for all activity that occurs under your account
• Notify us immediately at app@rxi.care of any suspected unauthorised access

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are in violation of these Terms.

Description of Service

RXI Care provides a cloud-based clinical practice management platform that includes:

• AI-assisted consultation notes and clinical documentation (AI Scribe)
• Patient record management and ABHA integration
• Prescription and Rx template generation
• Appointment scheduling and calendar management
• Billing, invoicing, and payment processing
• Unified inbox for WhatsApp, SMS, and email patient communications
• Telehealth video consultations
• Analytics and practice reports

Features available to you depend on your active subscription plan. We may add, modify, or discontinue features at any time with reasonable notice.

Subscription & Billing

Plans and Payment

The Service is offered under paid subscription plans billed monthly or annually in advance. You authorise us to charge your payment method on the billing date. All fees are stated in Indian Rupees (INR) and are exclusive of GST.

Refunds

All fees are non-refundable except as expressly required by applicable Indian law or as set out in a separate written agreement. Annual plan fees will not be refunded on early cancellation.

Price Changes

We may change subscription pricing with at least 30 days' prior notice sent to your registered email address. Continued use after the effective date constitutes acceptance of the new pricing.

Late Payment & Suspension

If a payment fails or remains outstanding for more than 7 days, we may suspend access to the Service until payment is received. Data is retained for 30 days after suspension before deletion procedures may begin.

Data Ownership

You retain all rights, title, and interest in the patient data and clinical records you enter into the Service. RXI Care does not claim ownership of your data.

You grant RXI Care a limited, worldwide, royalty-free licence to host, store, process, and transmit your data solely as necessary to provide the Service and as described in our Privacy Policy.

Acceptable Use

You must not use the Service to:

• Enter false, fabricated, or misleading patient records
• Violate any applicable law, regulation, or professional code of conduct
• Attempt to probe, scan, or test the vulnerability of our systems
• Reverse-engineer, decompile, or attempt to derive source code from the platform
• Resell, sublicence, or provide access to the Service to third parties
• Transmit malware, spam, or any harmful content through the platform
• Use AI-generated outputs without exercising independent clinical judgment

Violation of this policy may result in immediate suspension without refund and may be reported to relevant authorities.

Intellectual Property

All software, AI models, user interface designs, workflows, documentation, trademarks, and proprietary methodologies comprising the Service are the exclusive intellectual property of RXI Care Technologies Pvt. Ltd., protected under Indian copyright and IP laws.

You receive a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your own internal clinical practice management during the term of your subscription.

Limitation of Liability

To the maximum extent permitted by applicable law:

• RXI Care is not liable for clinical decisions made using the platform, whether or not assisted by AI features
• RXI Care is not liable for indirect, incidental, special, consequential, or punitive damages
• Our aggregate liability for any claim arising under or related to these Terms shall not exceed the total fees you paid in the three (3) months immediately preceding the event giving rise to the claim

Nothing in these Terms limits liability that cannot be excluded under applicable Indian law, including liability for fraud or death/personal injury caused by negligence.

Termination

Either party may terminate the subscription at the end of the current billing period by cancelling through the platform or contacting support. Access continues until the paid period ends.

We may suspend or terminate your access immediately for material breach of these Terms, non-payment, or conduct we reasonably believe poses a risk to the security of the platform or patient data.

Upon termination, you may export your data within 30 days using the platform's export tools. After this period, data may be permanently deleted in accordance with our retention policy.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising from or related to these Terms shall first be attempted to be resolved through good-faith negotiation.

If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the competent courts in India.

Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you by email to your registered address at least 14 days before the effective date. For minor changes (such as clarifications that do not affect your rights), we may update without prior notice.

Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
